Constitution of the James Begg Society

Name

1. The name of the Society shall be THE JAMES BEGG SOCIETY, hereinafter called 'The Society'.

Basis

2. The basis of the Society shall be the Protestant, Reformed, Christian religion as contained in the Westminster Confession of Faith and the Form of Presbyterial Church-Government.

Membership

3. Membership of the Society shall be open to all who subscribe to the basis and aim of the Society. The subscription fee is to be determined by the Committee.

Aim

4. The aim of the Society shall be to advance the Christian religion through publishing, and such other lawful means as the Society may from time to time decide, and in furtherance thereof:

(1) To promote the Reformed understanding of the Scriptures, regarding doctrine, worship and practice.

(2) To encourage unity in doctrine, worship and practice amongst Reformed Christians.

Management

5.(i) The officers of the Society shall be President, Vice-President, Secretary and Treasurer, who shall serve for a period of one year following the Annual Meeting of the Society, which shall be held in May (D.V.) at a venue decided by the Committee.

(ii) There shall be a Committee of seven of the Society's male members (consisting of the four office bearers and three others) who shall manage the affairs of the Society between Annual Meetings, and who shall be selected by the Committee as required. Notification of Committee changes is to be given at the Annual Meeting.

(iii) The quorum for Committee meetings shall be four. The Committee shall elect the President, Vice-President, Secretary and Treasurer from among themselves.

Meetings

6. Committee Meetings and other Meetings shall be held at the discretion of the Committee, with the President or Vice-President taking the chair. All the Society's Meetings shall be opened and closed with prayer.

Finance

7. (i) Funds may be raised by subscription, donation and other such lawful methods as are consistent with the Christian basis of the Society.

(ii) The Treasurer shall hold funds in the name of the Society and present audited accounts to the Annual Meeting.

(iii) The Treasurer shall be responsible for timely payment of all the Society's debts from the Society's funds, but shall not be personally liable for them.

Constitution

8. This Constitution may only be amended by a unanimous recommendation of the Committee with approval by 2/3 of the membership at a duly convened meeting of which prior notice has been served to the members.

Dissolution

9. The Society may only be dissolved by a unanimous recommendation of the Committee with approval by 5/6 of the membership at a meeting duly convened for this purpose and of which 28 days notice has been served to the members. Any funds remaining after all liabilities have been met shall be given to the Trinitarian Bible Society, as presently constituted. Supposing a change in the Constitution of the Trinitarian Bible Society, such a meeting may donate the Society's funds to an alternative charitable body or bodies.
